1. Agreement to Terms
By accessing or using the LeadFlow Agency LLC website (https://leadflowagency.com) or our services, you agree to these Terms of Service (“Terms”). If you do not agree, you must not use our services.
2. Scope of Services
LeadFlow Agency LLC provides:
- Marketing consulting services
- Training, support, and campaign strategy services
- Resale and setup of ActiveCampaign software
3. Client Responsibilities
- You agree to provide accurate and lawful information.
- You are responsible for ensuring compliance with all applicable laws (e.g., CAN-SPAM, TCPA, GDPR, CCPA) when using ActiveCampaign or our services.
- You must have appropriate rights to use your email/SMS subscriber lists.
4. ActiveCampaign Resale
When purchasing ActiveCampaign licenses or services through LeadFlow Agency LLC:
- You also agree to be bound by ActiveCampaign’s Terms of Service and Privacy Policy.
- LeadFlow is not liable for downtime, outages, or limitations of the ActiveCampaign platform.
- Client data within ActiveCampaign remains the property of the client.
5. Payments & Billing
- Fees for consulting services, subscriptions, or software are due as described in your invoice or service agreement.
- Payments are non-refundable unless otherwise agreed in writing.
- Failure to pay may result in suspension or termination of services.
6. Intellectual Property
All content, training materials, guides, and resources provided by LeadFlow Agency LLC are our intellectual property. You may not copy, distribute, or resell them without written consent.
7. Prohibited Uses
You may not:
- Use our services for unlawful purposes
- Misuse ActiveCampaign in violation of email/SMS laws
- Attempt to disrupt, hack, or damage our site or services
- Resell our consulting services without permission
8. Disclaimers
Our services and content are provided “as is” without warranties of any kind. We make no guarantee of specific marketing results or outcomes.
9. Limitation of Liability
To the maximum extent permitted by law, LeadFlow Agency LLC is not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount paid by you for services in the preceding 6 months.
10. Indemnification
You agree to indemnify and hold LeadFlow Agency LLC harmless from claims, damages, or liabilities arising from:
- Your misuse of ActiveCampaign or consulting services
- Your violation of laws (e.g., sending non-consented SMS/email campaigns)
- Your breach of these Terms
11. Termination
We may suspend or terminate services for nonpayment, breach of these Terms, or unlawful use.
12. Governing Law
These Terms are governed by the laws of the State of Georgia, USA. Any disputes will be resolved in the courts of Fulton County, Georgia.
13. Changes to Terms
We may update these Terms periodically. Updates will be posted with a revised effective date. Continued use of services means you accept the changes.
